Terms of Service

1. Acceptance of Terms

By accessing and using RXNexusFlow ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. License and Use

RXNexusFlow grants you a limited, non-exclusive, non-transferable license to use the Service for lawful business purposes. You agree not to:

  • Violate any laws or regulations (including HIPAA, PIPEDA, Quebec Law 25, AODA)
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to the Service
  • Reverse-engineer or decompile any component of the Service
  • Resell, sublicense, or redistribute the Service without prior written consent

3. Pharmacy Responsibility

You represent and warrant that:

  • Your pharmacy is legally licensed and in good standing
  • You are authorized to bind the pharmacy to this agreement
  • You will use RXNexusFlow in accordance with all applicable laws and pharmacy standards
  • You will ensure patient data is handled with appropriate confidentiality measures
  • You take full responsibility for delivery decisions and logistics coordination

4. Data Responsibility

You are responsible for:

  • Obtaining proper patient consent before using RXNexusFlow for delivery
  • Maintaining confidentiality of your account credentials
  • Ensuring all delivery data is accurate and complete
  • Complying with your own privacy obligations to patients
  • Reporting security breaches immediately to security@rxnexusflow.com

5. Driver Management

You are responsible for:

  • Ensuring drivers pass background checks (via Certn or Sterling)
  • Maintaining current proof of insurance for drivers
  • Compliance with employment laws and driver regulations in your jurisdiction
  • Payment of drivers is your sole responsibility; RXNexusFlow provides only assignment and routing

6. Limitation of Liability

EXCEPT AS PROHIBITED BY LAW, RXNEXUSFLOW AND MEDESCRIPT INC. ARE PROVIDED ON AN "AS-IS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL MEDESCRIPT INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.

Our total liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless MedEScript Inc., its officers, employees, and agents from any claim, demand, loss, or liability arising from:

  • Your violation of these Terms
  • Your use of the Service in violation of law
  • Your delivery operations or driver management
  • Infringement claims related to your data
  • Claims by patients or other third parties related to deliveries

8. Suspension and Termination

We may suspend or terminate your access if:

  • Your pharmacy license becomes inactive or revoked
  • You violate any law or these Terms
  • We detect fraud or security risk
  • You fail to pay undisputed fees for 30 days
  • We receive complaints regarding service quality or patient safety

Upon termination, we retain the right to retain data as required by law. You may request deletion of non-regulated data within 90 days of termination.

9. Business Associate Agreement

In the United States, RXNexusFlow acts as a HIPAA Business Associate. A separate Business Associate Agreement ("BAA") governs the handling of Protected Health Information. The BAA is incorporated by reference. In the event of conflict between the BAA and these Terms, the BAA controls.

10. Subscription Terms

  • Billing: Fees are billed monthly in advance
  • Payment: You authorize us to charge your payment method on file
  • Refunds: Refunds are issued only for technical failures preventing service use
  • Changes: We will provide 30 days' notice of fee increases

11. Intellectual Property

All content, design, and technology comprising RXNexusFlow is the exclusive property of MedEScript Inc. You retain ownership of delivery and business data you generate. We retain the right to use de-identified data for service improvement.

12. Dispute Resolution

Any dispute shall be governed by the laws of Ontario, Canada. Before litigation, disputes shall be resolved via binding arbitration per the rules of the ADR Institute of Canada. Each party bears its own costs.

13. Amendments

We reserve the right to update these Terms. Material changes will be communicated to you 30 days in advance. Continued use constitutes acceptance.
